1. Acceptance of Terms

By accessing or using our Service, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Auto Parts Leads.

2. Description of Services

Auto Parts Leads provides lead generation services for auto parts dealers, dismantlers, and wholesalers. Our services include:

• Delivery of verified buyer leads in the engine, transmission, and mixed auto parts categories
• Lead packages at various volume tiers (Starter, Professional, Enterprise)
• Lead delivery via email, SMS, API, or CRM integration depending on your package
• Account management and customer support

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Lead Package Terms

Lead Delivery: Leads are delivered based on your selected package and are subject to availability. Lead volume is not guaranteed as an exact number and may vary based on market conditions and category demand.

Lead Quality: We make reasonable efforts to verify leads for accuracy and buyer intent. However, we do not guarantee that every lead will result in a sale. Leads are provided as-is based on submitted buyer information.

Exclusivity: Exclusive routing is only available on specific packages as described in our pricing. Leads under non-exclusive packages may be shared with up to three (3) buyers unless otherwise specified.

Pausing / Cancellation: You may pause or cancel your lead package at any time. Cancellations take effect at the end of the current billing cycle. No refunds are provided for partially used periods.

4. Payment Terms

All fees for lead packages are due in advance as agreed upon during onboarding. By providing payment information, you authorize us to charge the applicable fees.

• Prices are subject to change with 30 days' prior notice to existing clients
• All prices are in USD unless otherwise stated
• You are responsible for any applicable taxes or duties
• Disputed charges must be reported within 14 days of the invoice date

5. User Obligations

By using our Service, you agree to:

• Provide accurate and complete information when submitting inquiries or creating accounts
• Use leads only for lawful business purposes in compliance with all applicable laws, including anti-spam laws (CAN-SPAM, TCPA)
• Not resell, redistribute, or share leads with parties outside your business organization
• Not use our Service to engage in any fraudulent, deceptive, or misleading conduct
• Maintain the confidentiality of any account credentials
• Contact lead recipients in a professional and compliant manner

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Auto Parts Leads and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our express written permission.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUTO PARTS LEADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Costs of procuring substitute services
• Any damages arising from your use of leads we provide

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 30 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Auto Parts Leads and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
